Why Stanley Electric Co., Ltd. is buying Iwasaki Electric Co., Ltd.

Stanley said the deal fits its pursuit of the 'value of light' and would extend its lighting business beyond cars into municipal, industrial and commercial-building applications, drawing on Iwasaki's ties with government and public-sector customers in outdoor and public lighting. Japanese trade press reported that Stanley also aims to use Iwasaki's ultraviolet and industrial equipment to strengthen its electronics business and expand in ASEAN, China and India.

Deal terms and financing

Stanley is buying 278,331 shares, giving it full voting control, mainly from Lux Holdings, an entity controlled by Carlyle, together with five Iwasaki directors and employees and the company's employee shareholding association. The price may be revised under the share purchase agreement.

Regulatory approvals and timing

Completion was targeted for 1 April 2026, subject to antitrust and other approvals in Japan and Vietnam. Stanley's securities report for the year to March 2026, filed on EDINET, states that it acquired all of Iwasaki's shares on 23 April 2026 and consolidated the company.

Market context

Founded in 1944 and based in Tokyo's Chuo ward, Iwasaki Electric reported net sales of ¥60.09bn and operating profit of ¥6.09bn in the year to 31 March 2025. The seller, Lux Holdings, is part of the Carlyle Group.
