Toho Holdings has ended its consideration of a takeover of PHC Holdings, the Tokyo-listed medical device and diagnostics group, it said in an exchange filing on 9 October 2026. Bloomberg had reported that Toho's initial proposal valued PHC at more than ¥200bn (about US$1.3bn).
Why Toho Holdings is buying PHC Holdings
Toho, a Japanese pharmaceutical wholesaler, had been looking to expand into adjacent areas such as medical devices, diagnostic reagents and healthcare IT. PHC operates in diabetes management, healthcare solutions, and diagnostics and life sciences.
Deal terms and financing
According to Bloomberg, Toho had submitted an initial proposal at a valuation above ¥200bn, compared with PHC's market capitalisation of about ¥182bn at the time, and was conducting due diligence. KKR, which bought 80% of PHC's predecessor Panasonic Healthcare in 2014 and has since cut its holding, owns about 38%. PHC described the proposal as non-binding and preliminary.
Market context
Toho said on 1 October that it was considering the deal but that nothing had been decided. In its 9 October notice it said it would continue to pursue the targets of its medium-term management plan through other growth strategies, without giving a reason for ending the talks. The approach came amid a wave of consolidation and take-private deals in Japan's healthcare sector.
