Bio-Techne shareholders approved Merck KGaA's $73-per-share cash takeover at a special meeting on 23 September, after the US Hart-Scott-Rodino waiting period expired on 18 September.
Why Merck KGaA is buying Bio-Techne
The deal, Merck KGaA's first big move under chief executive Kai Beckmann, adds Bio-Techne's research reagents, antibodies and analytical instruments, including the ProteinSimple and RNAscope franchises, to its life-science division.
Deal terms and financing
Holders receive $73 a share in cash, valuing Bio-Techne at about $11.3bn and representing a 36% premium to its one-month volume-weighted price. Merck is funding the purchase with cash and new debt.
Regulatory approvals and timing
With US antitrust clearance secured, the companies still need remaining international approvals and expect completion in late 2026 or early 2027. Shareholders rejected the advisory vote on executive merger pay.
Market context
Bio-Techne had been under pressure from activist Ananym Capital before agreeing the sale in June; the deal is among the largest life-science tools transactions of 2026.
