Shinmente Holdings and Sanki Service said on 15 July they would combine through a share exchange that makes Himeji-based Sanki a wholly owned subsidiary of Shinmente, to be renamed Sanki Shinmente Holdings.
Why Shinmente Holdings Co., Ltd. is buying Sanki Service Corporation
The companies expect to cross-sell to each other's customers, share technology and know-how to improve service quality, and use each other's sales bases to widen their coverage and cut costs.
Deal terms and financing
Sanki shareholders will receive 1.920 Shinmente shares for each Sanki share, except for the 630,000 Sanki shares Shinmente already holds, and Shinmente will issue about 11.18 million new shares. Each side will nominate an equal number of directors to the combined board.
Regulatory approvals and timing
The exchange required approval at both companies' shareholder meetings, scheduled for late August and early September, and is planned to take effect on 1 December 2026, with Sanki Service delisted in November.
Market context
Sanki Service was founded in Himeji in 1977 and maintains building and store equipment such as air-conditioning. Shinmente Holdings runs a nationwide maintenance platform for shops and facilities through Simplo Mente and Tesco.
