Why Ondas Holdings Inc. is buying Omnisys Ltd.

Ondas said it bought Omnisys to strengthen its autonomous defence systems portfolio with battle-proven battlefield orchestration software that complements its autonomous platforms and expands its ability to sell integrated, software-enabled defence systems to customers worldwide.

Deal terms and financing

Ondas issued 3,098,291 shares worth $28.4m at closing and recorded a $170m deferred obligation, later settled through the issue of about 20.1m further shares. An earn-out of up to $60m, payable in cash or stock at Ondas's election, depends on cumulative new customer orders in the three years after closing.

Regulatory approvals and timing

The acquisition was completed on 21 May 2026.

Market context

Calcalist counted Omnisys among a string of Israeli defence-technology companies bought by Ondas, which has used acquisitions to assemble a broader autonomous defence platform.
