KITZ agreed on 26 March to acquire V TEX, a Tokyo-based maker of specialised industrial vacuum valves, from engineering group Kanadevia for ¥9,198m.
Why KITZ Corporation is buying V TEX Corporation
KITZ said V TEX's vacuum-valve technology fits with the semiconductor-equipment business of its KITZ SCT unit and that its rupture-disc business offers synergies across industrial valves. Kanadevia said chip-equipment makers wanted second suppliers for vacuum valves and that KITZ was the best owner to grow the business.
Deal terms and financing
KITZ pays ¥9,198m for all 886,400 V TEX shares, plus about ¥170m of advisory costs. V TEX reported consolidated sales of ¥9.38bn and operating profit of ¥549m in the year to March 2025, according to Kanadevia's unaudited figures.
Regulatory approvals and timing
The share transfer was scheduled for 1 June 2026 and was completed that day, MarketScreener reported, with V TEX and its subsidiaries becoming wholly owned by KITZ.
Market context
Kanadevia is reshaping its portfolio under its Forward 25 medium-term plan; earlier in March it agreed to transfer its all-solid-state battery business to Suzuki.
