Kanadevia and Nippon Steel Engineering, a wholly owned subsidiary of Nippon Steel, said on 5 February 2026 that they had signed a basic memorandum of understanding to begin talks on a business integration, under which Kanadevia would be the surviving company in an absorption-type merger.
Why Kanadevia Corporation is buying Nippon Steel Engineering Co., Ltd.
The companies said renewal demand from local governments for ageing waste and water treatment plants in Japan, and growing overseas demand for waste-to-energy plants, offered growth opportunities, while labour shortages, supply chain risks and the need to invest in AI and robotics required greater scale. Together they aimed to build a leading environmental group focused on resource circulation, decarbonisation and resilient infrastructure.
Deal terms and financing
No terms were set. The merger ratio was to be decided in a definitive agreement after due diligence and third-party valuations.
Regulatory approvals and timing
The planned timetable was a definitive agreement in September 2026, shareholder meetings in November 2026 and an effective date in April 2027. On 29 September 2026 both boards resolved to cancel the memorandum by mutual agreement, saying it had become difficult to agree on the conditions of the integration; Kanadevia said there would be no impact on its consolidated results.
Market context
Kanadevia says it has delivered more than 1,500 waste treatment facilities in 44 countries and regions. NSE was spun off from Nippon Steel's engineering division in 2006.
