Jollibee Foods Corporation said in mid-February that its Korean subsidiary Jolli-K had signed definitive agreements to acquire All Day Fresh, which runs the Shabu All Day hot-pot and all-you-can-eat chain, for about US$87m.
Why Jollibee Foods Corporation (via Jolli-K) is buying All Day Fresh (Shabu All Day)
Jollibee described the deal as a bolt-on to its Korean business after the 2024 purchase of Compose Coffee, saying it would add about 2% to group revenue and about 8% to global EBIT in 2026.
Deal terms and financing
Jolli-K is 70% owned by Jollibee and 30% by Elevation Equity Partners Korea. The purchase was subject to closing and financing conditions, with the final price to be confirmed after completion.
Regulatory approvals and timing
The Korea Fair Trade Commission approved the acquisition in April 2026. Jollibee's second-quarter 2026 results reported 172 stores added from the acquisition in the first half and listed Shabu All Day as a 70%-owned brand.
Market context
Shabu All Day, founded in Seoul in 2014, had 169 stores in South Korea as of January 2025 and about US$285m in annual system-wide sales. Jollibee has been expanding abroad through acquisitions, including Compose Coffee, Highlands Coffee and Tim Ho Wan.
