The US Surface Transportation Board denied requests in September to reject the revised Union Pacific-Norfolk Southern merger application without a full review, and stressed it had made no judgement on the deal's merits.
Why Union Pacific is buying Norfolk Southern
The proposed combination would create the first coast-to-coast US freight railroad. The companies say more than 500 shippers have publicly backed the deal, and several state attorneys general and South Carolina's governor filed letters of support in September.
Deal terms and financing
The transaction was agreed in 2025 at a reported value of about $85bn.
Regulatory approvals and timing
Under the board's schedule, protests and requests for conditions are due on 18 November 2026 and responses by 16 February 2027. The deal is the first major rail combination reviewed under the STB's tougher merger standard, and the railroads expect completion in the second half of 2027.
Market context
The board's procedural ruling removes an early threat to the deal but leaves the substantive public-interest test ahead. Competing railroads and some shipper groups remain opposed.
