C.H. Robinson agreed on Oct 5 to buy freight brokerage rival RXO in a deal with an implied value of about $5.8bn. RXO shareholders get $17.25 in cash plus 0.0856 C.H. Robinson shares for each share, or $30.25 implied.
Why C.H. Robinson is buying RXO
C.H. Robinson expects about $300m of run-rate cost synergies within two years by applying its AI-led operating model across RXO, which will fold mainly into its North American Surface Transportation division.
Deal terms and financing
Holders can elect all cash or all stock, subject to proration targeting roughly 57% cash and 43% stock. C.H. Robinson will pause buybacks after closing until leverage returns to target.
Regulatory approvals and timing
The companies expect to close in the first half of 2027 after regulatory approval and an RXO shareholder vote; holders MFN Partners and Orbis support the deal.
Market context
Truck brokerage has endured a prolonged freight downturn, encouraging consolidation among the largest players.
