Why TPG (TPG Capital and TPG Sports) is buying Learfield

TPG said its investment would give Learfield additional capital and resources to grow across sponsorship, Paciolan ticketing, SIDEARM Sports digital platforms and CLC licensed merchandise. Chief executive Cole Gahagan said the company was reshaping the future of collegiate athletics and live entertainment.

Deal terms and financing

TPG is investing through TPG Capital and TPG Sports. Charlesbank Capital Partners keeps a minority stake, and Learfield's other investors sell out. Private Equity Wire, citing Sports Business Journal, reported the deal was valued at US$1.8bn to US$2bn and that Fortress Investment Group would exit.

Regulatory approvals and timing

The transaction was expected to close in the third quarter of 2026, subject to customary approvals; no completion announcement was found in the sources reviewed by October 2026.

Market context

Learfield, which had explored a sale or capital raise for months, generates about US$1.2bn in annual revenue according to Private Equity Wire and completed a recapitalisation in 2023 that reduced its debt. It works with more than 1,200 institutions, including most schools in the ACC, Big Ten, Big 12 and SEC.
