Takara Holdings announced on 13 February 2026 that it would acquire the shares of Takara Bio it does not own through a tender offer at ¥1,150 per share, as it seeks to make the Tokyo-listed biotechnology company a wholly owned subsidiary.
Why Takara Holdings Inc. is buying Takara Bio Inc.
Japan Credit Rating Agency said Takara Bio's performance had been weak because of a downturn in the life science research market, and that making it a wholly owned subsidiary was expected to allow faster decision-making and more flexible allocation of resources within the Takara group.
Deal terms and financing
Takara Holdings, which owns 60.91% of Takara Bio, sought 47,065,467 shares, implying total consideration of ¥54.1bn. The minimum tender was 6,927,000 shares, with no upper limit. Takara Bio's board expressed support for the offer.
Regulatory approvals and timing
The Japan Exchange Group placed Takara Bio shares under supervision on 13 February because the offer could lead to delisting. The tender offer closed on 6 April 2026 with 31,733,101 shares tendered, above the minimum, and Takara Bio is expected to be delisted after the required procedures.
Market context
JCR said the tender offer would have only a limited impact on Takara Holdings' creditworthiness given its financial structure and cash flow.
