Taiheiyo Cement agreed on 25 March to buy Tokuyama's domestic cement and solidifying-material sales business, along with two building-materials subsidiaries, for ¥37.0bn.
Why Taiheiyo Cement Corporation is buying Tokuyama Corporation's domestic cement sales business (Tokuyama Cement)
Taiheiyo said its 2024-26 medium-term plan centred on revitalising its domestic business and that acquiring Tokuyama's sales customer base would expand opportunities and strengthen and stabilise the profitability of its core domestic cement operations.
Deal terms and financing
Tokuyama set up a wholly owned company, Tokuyama Cement, which took over the sales business and all shares of Tokuyama M-Tech and Tokuyama Tsusho through a simplified absorption-type split; Taiheiyo then bought all its shares. The ¥37.0bn price is subject to adjustment under the share transfer agreement.
Regulatory approvals and timing
Tokuyama announced on 1 October 2026 that the split had taken effect and the share transfer to Taiheiyo was complete, with the company renamed Tokuyama Taiheiyo the same day (Tokuyama release, 1 October 2026).
Market context
Tokuyama M-Tech makes construction materials and carries out concrete repair work, while Tokuyama Tsusho sells cement, ready-mixed concrete and other building materials.
