STERIS signed a definitive agreement on 12 October to acquire Xodus Medical, a privately held specialty surgical products business near Pittsburgh, for $2.1bn at closing.
Why STERIS is buying Xodus Medical
STERIS said Xodus's products complement and expand its healthcare offering, particularly in operating-room consumables, and that the business has grown at double-digit rates. It expects the deal to be accretive to revenue growth, margins and adjusted earnings.
Deal terms and financing
The $2.1bn price is subject to customary adjustments, and up to $150m more may be paid if Xodus meets calendar 2028 performance targets. STERIS expects cash tax benefits with a net present value of about $300m, giving a net purchase price of about $1.8bn. The acquisition will be financed primarily with debt.
Regulatory approvals and timing
Closing is expected by 31 December 2026, subject to customary conditions and regulatory approvals. STERIS will issue a revised fiscal 2027 outlook including Xodus after closing.
Market context
Founded in 1993, Xodus is best known for its Pink Pad system, which secures patients on the operating table, and also makes electrosurgical accessories, medication labels, anti-fog products and sharps-safety devices. Stephens analyst Steven Etoch called the deal a logical tuck-in for STERIS's healthcare business. In August STERIS said it would spend $600m on a North Carolina chemicals hub.
