SPIE signed an agreement on 2 March to acquire ROFA Industrial Automation AG, a German specialist in factory automation, conveyor systems and intralogistics with about €430m of annual revenue.
Why SPIE SA is buying ROFA Industrial Automation AG
SPIE said the deal strengthens its position in German industrial services, its largest market, adds automation and intralogistics capabilities, creates cross-selling opportunities with blue-chip customers and builds on its 2024 acquisition of Robur. It expected mid-single-digit accretion to adjusted earnings per share in the first year of consolidation.
“The acquisition of ROFA strengthens SPIE's position as a leading player in industrial services in Germany.”
Deal terms and financing
SPIE agreed to buy about 99% at closing, with management keeping roughly 1% under put and call arrangements. It described the price as a high single-digit EBITA multiple and financed it from its own resources. Its half-year financial report shows €611.8m paid for an initial 89.7% stake and €71.0m for the remaining shares on 10 July.
Regulatory approvals and timing
The deal was subject only to antitrust approval. SPIE's half-year financial report states that it acquired ROFA on 3 June 2026.
Market context
ROFA was founded in 1967 and is headquartered in Kolbermoor, Bavaria. Factory automation accounts for about 80% of its revenue and warehouse and logistics automation for about 20%.
