Pan African Resources agreed on 9 March to acquire Emmerson Resources, its partner in the Tennant Creek gold joint venture, through a scheme of arrangement that valued Emmerson at about A$311m on a fully diluted basis.
Why Pan African Resources plc is buying Emmerson Resources Limited
Emmerson's board said combining with its joint-venture partner was a strategically logical consolidation of its Tennant Creek tenements, giving shareholders an immediate premium and continued exposure to a cash-generating gold producer.
Deal terms and financing
Emmerson holders receive 0.1493 Pan African shares for each share, in the form of CDIs, and will own about 4.24% of the enlarged group. The implied A$0.45 a share was a 36.4% premium to the 6 March close and 42.7% to the 30-day VWAP. Pan African agreed to provide interim unsecured funding of up to A$5m, and holders of about 26% of Emmerson's shares said they intended to vote in favour.
Regulatory approvals and timing
The scheme required shareholder and court approval. It was implemented on 1 July 2026, with Emmerson's shares transferred to Pan African subsidiary Tennant Consolidated Mining Group, and Emmerson was removed from the ASX at the close of trading on 2 July (Emmerson ASX announcement via ShareCafe, 1 July 2026).
Market context
Pan African established a foreign exempt listing on the ASX so Emmerson holders could trade the consideration CDIs locally; quotation began in June 2026.
