Why Energy Fuels Inc. is buying Australian Strategic Materials Ltd

ASM said the deal would create a Western 'mine to metal and alloy' rare earths supply chain outside China, combining Energy Fuels' feedstock and separation capacity at the White Mesa Mill in Utah with ASM's metallisation and alloying capability, and give ASM shareholders exposure to a larger, better-funded group aligned with the US-Australia critical minerals framework.

“This proposed combination delivers a significant premium for ASM shareholders and ensures our shareholders retain the opportunity to participate in the substantial upside of a larger, better capitalised critical minerals business.”Rowena Smith, Managing Director and CEO, Australian Strategic Materials

Deal terms and financing

ASM shareholders were offered 0.053 Energy Fuels shares or ASX-listed CDIs per share, implying A$1.47, plus up to A$0.13 per share, initially as a special dividend and later restructured as cash paid by Energy Fuels. The offer represented a 121% premium to ASM's close of A$0.725 on 20 January and valued ASM at about A$447m on a fully diluted basis. Option holders were offered A$0.50 cash per listed option. The ASM board unanimously recommended the scheme, and chair and 13.6% shareholder Ian Gandel intended to vote in favour.

Regulatory approvals and timing

After securityholders voted in favour in August, the Federal Court of Australia approved the schemes on 18 August and they became effective on 19 August. Implementation, including the A$0.13 cash payment, took place on 28 August 2026, and ASM's quotation on the ASX was terminated.

Market context

ASM owns the Korean Metals Plant in Ochang, South Korea, which has 1,300 tonnes a year of NdFeB alloy capacity, and the Dubbo rare earths and critical minerals project in New South Wales.
