Why Goldgroup Mining Inc. is buying Gold Resource Corporation

Goldgroup said the combination would create a larger, more diversified multi-mine junior producer focused on Mexico, with pro forma revenue weighted towards silver from Don David, expected operating and overhead savings, a stronger balance sheet and potentially broader institutional investor interest.

Deal terms and financing

The deal was structured as a reverse triangular merger under Colorado law alongside a British Columbia plan of arrangement, leaving GRC a wholly owned Goldgroup subsidiary. The exchange ratio implied US$2.25 per GRC share, a 39% premium to the 23 January close. GRC holders were to own about 40% of the combined group, which would have a five-member board with three Goldgroup and two GRC nominees, and GRC's executive team was expected to run the enlarged company.

Regulatory approvals and timing

Mexico's Comisión Nacional Antimonopolio cleared the deal on 23 April 2026, shareholders of both companies approved it on 2 July and the Supreme Court of British Columbia gave final approval on 6 July. GRC's filing shows the merger closed on 17 July 2026; Goldgroup now trades on NYSE American and the TSX Venture Exchange under the GORO ticker.

Market context

GRC owns the producing Don David gold mine in Oaxaca and the advanced-stage Back Forty project in Michigan. Goldgroup, based in Vancouver, operates the Cerro Prieto heap-leach gold mine in Sonora and holds the past-producing San Francisco mine in the same state.
