Medipal Holdings said on 11 May it would launch a tender offer for the PALTAC shares it did not already own at ¥6,650 each, valuing the minority stake at about ¥192.45bn and aiming to make the cosmetics, daily-necessities and OTC-medicine wholesaler a wholly owned subsidiary.

Why MEDIPAL HOLDINGS CORPORATION is buying PALTAC CORPORATION (47.6% minority)

The companies pointed to rising medical costs, an ageing and shrinking population, a shift of care from hospitals to homes and communities, and a shrinking retail workforce. Removing the listed parent-subsidiary structure is meant to let them combine data and field knowledge in product planning and demand forecasting, and to make logistics and procurement more efficient across healthcare and daily-goods distribution.

Deal terms and financing

The cash offer carried a 42.73% premium to PALTAC's closing price on 8 May and required a minimum of 8,676,100 shares to be tendered. It ran from 12 May to 7 July 2026.

Regulatory approvals and timing

The Tokyo Stock Exchange placed PALTAC on its securities-under-supervision list on 11 May. The offer succeeded on 7 July, with settlement from 14 July, taking Medipal to 92.64% of the voting rights. The exchange then designated the shares for delisting following Medipal's cash-out demand, and PALTAC was delisted on 10 August 2026.

Market context

Medipal is a holding company for wholesale businesses in prescription drugs, cosmetics, daily goods and OTC medicines, and veterinary medicines; PALTAC had been its listed consolidated subsidiary.
