Why Iyogin Holdings, Inc. is buying The Ehime Bank, Ltd.

The banks said a shrinking population and number of businesses, and the rise of large financial groups and non-bank competitors, make it harder to stay competitive with a traditional banking model, and that joining forces would strengthen their management base and financial intermediation in Ehime.

Deal terms and financing

Iyogin Holdings will be the wholly owning parent and Ehime Bank the wholly owned subsidiary. The share exchange ratio will be decided after due diligence and calculations by third-party valuers, and Ehime Bank's shares will be delisted before the exchange takes effect.

Regulatory approvals and timing

The integration requires approval at an Ehime Bank shareholder meeting and the necessary regulatory permits, with the share exchange targeted to take effect around 1 April 2027.

Market context

Both banks are headquartered in Matsuyama. Iyogin Holdings had consolidated total assets of about ¥9.5tn at the end of March 2026; on a simple combined basis the group would exceed ¥12tn, the equivalent of Japan's 12th-largest regional banking group, according to Kyodo.
