ITOCHU said on 25 February 2026 that it would acquire 20.05% of Sun Frontier Fudousan, a Tokyo-listed developer that buys and renovates office buildings, through a partial tender offer and a new share issue worth about ¥32bn combined.
Why ITOCHU Corporation is buying Sun Frontier Fudousan Co., Ltd. (20.05% stake)
ITOCHU said rising construction costs and labour shortages were limiting returns from new development, and that renovating ageing office buildings that would otherwise be demolished could maintain supply while reducing environmental impact. Sun Frontier said ITOCHU's funding capacity, network and materials procurement would support its property regeneration and hotel businesses.
Deal terms and financing
The tender offer, made through ITOCHU's wholly owned SI Corporation, sought up to 6,656,900 shares at ¥2,800, an 8.95% premium to the close before the announcement, and ran from 26 February to 9 April 2026. AAGS S5, L.P. agreed to tender 3,151,200 shares. ITOCHU separately agreed to subscribe for 5.5m new shares at ¥2,438 each, with payment due on 1 April. ITOCHU intends Sun Frontier to remain listed.
Regulatory approvals and timing
The tender offer closed with 7,768,279 shares tendered, above the cap, so ITOCHU bought the maximum 6,656,900 shares on a pro rata basis. Sun Frontier became an ITOCHU equity-method affiliate on the settlement date, 16 April 2026.
Market context
ITOCHU first learned of the opportunity through Daiwa Securities in February 2025 and held its first meeting with Sun Frontier the following month. On the same day it also launched a bid to take its food wholesaler ITOCHU-SHOKUHIN private.
