Hexagon signed an agreement on 9 October to acquire Toronto-based Rocscience, a provider of geotechnical and engineering analysis software, at an enterprise value of $535m.
Why Hexagon AB is buying Rocscience
Hexagon said combining its sensors, which monitor real-world conditions, with Rocscience's models of how rock, soil and structures behave would let live data calibrate engineering models from design through operations. The deal is expected to be accretive to Hexagon's net income from closing.
“Rocscience has an exceptionally strong team that has built a proven business with outstanding customer satisfaction.”
Deal terms and financing
The price is on a cash-free, debt-free basis. Rocscience expects revenue approaching $50m in calendar 2026, with annual recurring revenue above 80% of sales and EBITAC margins above 40%. TA Associates, Rocscience's first institutional investor since June 2023, will fully exit.
Regulatory approvals and timing
Closing is expected in the fourth quarter of 2026, subject to customary conditions.
