Wienerberger signed an agreement on 24 February 2026 to acquire 50% plus one share of Italcer Group, an Italian producer of premium indoor ceramic products, with an option to buy the remaining shares in the first half of 2027.
Why Wienerberger AG is buying Italcer Group
Wienerberger said the deal strengthens its position in the growing renovation segment and extends its reach along the building materials value chain. It expects Italcer to contribute more than €100m to group EBITDA over the medium term.
Deal terms and financing
The purchase price was not disclosed. Wienerberger is buying from Italcer's current owners, which Il Sole 24 Ore identified as Mindful Capital Partners and Miura Partners, and is funding the acquisition from cash on hand and bank loans.
Regulatory approvals and timing
The deal required merger-control clearance. Wienerberger completed the majority acquisition in April 2026, and Italcer contributed more than €16m to operating earnings in the second quarter, according to Kapitalmarktexperten.
Market context
Italcer was founded in 2017 and has grown into a multi-brand group with twelve plants in Italy and Spain. It closed 2025 with revenue of about €350m and EBITDA of €75m, Il Sole 24 Ore reported.
