VINCI Energies has completed its acquisition of All for One Group, taking about 87.33% of the German business-applications specialist after settling a voluntary cash offer of €67.50 a share.
Why VINCI Energies is buying All for One Group
VINCI Energies said the deal reinforces its position, through the Axians brand, in fast-growing digital infrastructure services including business applications, cloud, data analytics and artificial intelligence. All for One serves more than 4,500 mid-sized clients, mainly in Germany, Austria, Switzerland and Poland.
Deal terms and financing
The cash offer valued All for One at up to €336m. Shareholders holding about 54.7% of the shares, led by Austrian investor UIAG with 50.3%, had committed to tender. All for One's management and supervisory boards recommended acceptance; the company put the premium at 94.5% to its closing price on 15 July 2026.
Regulatory approvals and timing
The final offer condition was satisfied in September after merger-control clearance. The bidder has said it will evaluate a delisting and, if appropriate, a squeeze-out, and has committed not to enter a domination and profit-transfer agreement before 1 January 2029.
Market context
All for One generated revenue of about €500m in fiscal 2025 and employs about 3,000 people. The offer was launched in July 2026 and its acceptance period ended on 15 September.
