Vertex Pharmaceuticals agreed on 6 July to acquire San Diego-based Crinetics Pharmaceuticals for $85.00 per share in cash, valuing the endocrine drug developer at about $10.0bn.
Why Vertex Pharmaceuticals Incorporated is buying Crinetics Pharmaceuticals, Inc.
Vertex said Crinetics fitted its focus on serious diseases in specialty markets. PALSONIFY (paltusotine), approved by the FDA in September 2025, is the first once-daily oral therapy for adults with acromegaly, while atumelnant is in Phase 3 for congenital adrenal hyperplasia. Vertex put combined peak sales potential above $5bn and expects the deal to be accretive to non-GAAP operating income in 2029.
“Crinetics is an excellent strategic fit for Vertex, with its focus on serious diseases in specialty markets with significant unmet need”
Deal terms and financing
The all-cash price gives an equity value of about $10.0bn, or $8.8bn net of estimated cash. Vertex funded it from cash and debt, backed by a $4.5bn bridge commitment from Bank of America and Morgan Stanley Senior Funding.
Regulatory approvals and timing
The deal needed antitrust clearance and Crinetics shareholder approval. Vertex completed the acquisition on 1 September 2026.
Market context
Crinetics was founded nearly 18 years ago by chief executive Scott Struthers. The acquisition adds rare endocrine disorders to Vertex's cystic fibrosis, haematology, pain and renal businesses.
