Augmentum Fintech agreed on 25 February to a recommended cash offer of 111p a share from a company controlled by Verdane, valuing the London-listed investor in European fintech start-ups at about £185.7m.
Why Verdane (Frontier Bidco) is buying Augmentum Fintech plc
Verdane said UK markets generally fail to value listed investment trusts' assets properly and that Augmentum would have better access to capital and more flexibility to execute its strategy in private ownership. Augmentum's chair said the company had faced a persistent and widening discount to net asset value and that Verdane's was the best offer received.
Deal terms and financing
The 111p price was a premium of 27% to the 24 February close of 87.4p and 29.6% to the three-month average. Augmentum shares had traded at about 45% below the last published NAV. The deal was implemented by scheme of arrangement.
Regulatory approvals and timing
The scheme needed 75% shareholder approval, FCA change-of-control approval and court sanction. The High Court sanctioned it on 11 May 2026 and it was expected to become effective on 13 May, ending Augmentum's listing, the company said.
Market context
Augmentum is a publicly listed fund investing in European fintech companies. Persistent discounts across UK listed investment trusts have drawn a series of private equity and activist approaches.
