Why UCB SA is buying Neurona Therapeutics Inc.

UCB said the deal builds on its three decades in epilepsy and marks a strategic expansion into regenerative medicine and advanced therapies, aimed at disease-modifying treatments rather than symptom control. Neurona's NRTX-1001 is designed to restore compromised neural circuitry in drug-resistant mesial temporal lobe epilepsy and has FDA Regenerative Medicine Advanced Therapy and EMA PRIME designations.

Deal terms and financing

UCB pays $650m upfront and up to $500m in potential milestone payments. UCB kept its 2026 revenue guidance and said adjusted EBITDA growth would be high single-digit to mid-teens.

Regulatory approvals and timing

The deal required antitrust clearance and was expected to close by the end of the second quarter. UCB announced on 2 June 2026 that it had completed the acquisition.

Market context

UCB, based in Brussels, generated revenue of €7.7bn in 2025 and describes itself as a 30-year leader in epilepsy. The completion release refers to NRTX-1001 by its new name, rezanecel.
