Accelerant Holdings agreed on 13 August to be taken private by Thoma Bravo in an all-cash deal at $20.25 a share, giving the specialty insurance platform an enterprise value of more than $4bn.
Why Thoma Bravo is buying Accelerant Holdings
Accelerant's chief executive, Jeff Radke, said private ownership with Thoma Bravo's technology and software expertise would let the company invest further in its data-driven platform. Thoma Bravo said managing general agents increasingly want a technology-focused partner as the MGA market grows.
“Accelerant has been building the preeminent specialty insurance marketplace since our founding in 2018.”
Deal terms and financing
Shareholders of both share classes receive $20.25 in cash, 49% above the 12 August close. Thoma Bravo has given an equity commitment, so there is no financing condition, and shareholders will receive a ticking fee of 6% a year if pending insurance approvals delay closing. Altamont Capital Partners and the founders intend to retain equity alongside Thoma Bravo.
Regulatory approvals and timing
Closing is expected in the first half of 2027, subject to shareholder approval and insurance regulatory approvals.
Market context
Founded in 2018, Accelerant operates the Accelerant Risk Exchange, which connects specialty underwriters with risk capital providers using shared data and analytics.
