Why SpaceX is buying Grain Management (800 MHz spectrum portfolio)

The scarce low-band spectrum is intended to support next-generation satellite direct-to-device services for Starlink Mobile, complementing SpaceX's existing 2 GHz mid-band holdings. Low-band signals travel further and penetrate walls, extending service to phones indoors.

Deal terms and financing

The agreement covers 100% of Grain's nationwide 800 MHz portfolio, up to 14 MHz of paired spectrum. Neither party disclosed a price; the reported $8bn figure comes from people familiar with the matter cited by the Wall Street Journal.

Regulatory approvals and timing

The transaction is subject to Federal Communications Commission approval and other customary closing conditions. Grain said the sale advances the objectives of the FCC's July 2026 order approving its purchase of the licences from T-Mobile.

Market context

Grain acquired the 800 MHz airwaves from T-Mobile US in August in a deal that included $2.9bn in cash and Grain's 600 MHz spectrum. Shares of AT&T, Verizon and T-Mobile US fell about 6% in extended trading after the news.
