Why Premier Energy PLC is buying Evryo Group (Distribuție Energie Oltenia)

Premier said adding electricity distribution fills the missing piece of its integrated platform in Romania, its core market, bringing together power generation, distribution and supply alongside gas distribution and supply.

“By adding electricity distribution to our operations in Romania, we are adding a key missing component of our integrated energy platform in our core market.”José Garza, CEO, Premier Energy Group

Deal terms and financing

Premier is buying 100% of Felix Distribution Holdings, DEO's parent, and 100% of service company Evryo Power. The price broadly corresponds to the business's book value. Premier said it was in talks with a financial institution about a bond offering, starting with a bridge-to-bond financing package.

Regulatory approvals and timing

Premier said it would submit the deal for shareholder approval at its annual general meeting on 10 June 2026. Completion is subject to regulatory clearances and is expected in the second half of 2026.

Market context

DEO operates Romania's third-largest electricity distribution network, with about 80,000km of lines and 1.5 million customers. Macquarie, which has owned it since 2021, says more than RON2.3bn has been invested and a further RON3.4bn is planned by 2029. Premier bought CEZ Vânzare, now Premier Energy Furnizare, from Macquarie in 2024.
