Otsuka Pharmaceutical agreed on 27 March 2026, through its subsidiary Otsuka America, to acquire Transcend Therapeutics for US$700m upfront and up to US$525m in contingent payments.
Why Otsuka Pharmaceutical Co., Ltd. is buying Transcend Therapeutics, Inc.
Otsuka said the deal extends its investment in next-generation treatments for serious mental illness. Transcend's TSND-201 (methylone) is a rapid-acting neuroplastogen that produced favourable results in the Phase 2 IMPACT-1 trial for post-traumatic stress disorder, a condition affecting an estimated 13 million people a year in the US with no new approved treatments for more than 25 years.
“This marks an important step forward in our continued commitment to patients and their families in need of more treatment options for serious mental illness,”
Deal terms and financing
Otsuka paid US$700m to Transcend shareholders at closing, with up to US$525m more payable on future sales of assets in development, for a total potential value of US$1.225bn.
Regulatory approvals and timing
The acquisition was expected to close in the second quarter of 2026 subject to customary conditions. Otsuka announced completion on 12 June 2026; Transcend now operates as a wholly owned subsidiary of Otsuka America.
Market context
TSND-201 has since entered Phase 3 testing, holds FDA Breakthrough Therapy designation and was selected for the US priority voucher programme to speed access to psychedelic-derived treatments.
