Why The Marzetti Company is buying Bachan's, Inc.

Chief executive David Ciesinski said Bachan's would strengthen Marzetti's position in condiments and sauces with a premium brand aligned with consumer interest in global flavours and better-for-you products. Marzetti plans to use its retail and foodservice distribution, supply chain, marketing and culinary teams to broaden distribution, support innovation and extend the brand into adjacent categories.

Deal terms and financing

The $400m price, subject to customary adjustments, compares with Bachan's net sales of about $87m for the year to 31 December 2025. Marzetti funded the purchase with cash on hand and a $200m term loan.

Regulatory approvals and timing

Closing was subject to regulatory approval and was targeted before Marzetti's 30 June 2026 fiscal year-end. Marzetti announced completion on 1 May 2026.

Market context

Bachan's was launched in 2019 by Justin Gill from a family recipe passed down by his grandmother. Marzetti's portfolio includes Marzetti dressings, New York Bakery garlic bread and Sister Schubert's rolls, plus licensed sauces for brands such as Olive Garden, Chick-fil-A and Buffalo Wild Wings, Food Processing noted.
