Labcorp has agreed to buy the clinical, women's health, urology and corrections testing businesses of OPKO Health's BioReference Health unit, along with the 4Kscore prostate cancer test, for US$722m in cash plus up to US$150m in earnout payments, the companies said on 15 October.

Why Labcorp Holdings Inc. is buying BioReference Health (select assets, from OPKO Health)

Labcorp said the deal expands its clinical, women's health, urology and corrections testing and would make the 4Kscore test, an FDA-approved blood test that estimates the likelihood of aggressive prostate cancer before a biopsy decision, available to more patients. OPKO chief executive Phillip Frost said the sale would let the company streamline operations and focus resources on its biopharmaceutical business.

Deal terms and financing

The US$722m payable at closing is subject to adjustment based on closing business revenues. A further US$150m is payable depending on 4Kscore revenue. The assets include more than 80 patient service centres and certain operational assets.

Regulatory approvals and timing

The deal is subject to regulatory approvals and customary closing conditions; no closing date was given. The companies will operate independently until completion.

Market context

It is Labcorp's third purchase from BioReference: it bought reproductive and women's health assets for about US$237.5m in 2024 and oncology testing assets for up to US$225m in 2025. OPKO shares rose sharply on the announcement.
