Integer Holdings agreed on 3 August to be acquired by funds managed by KKR for $127 a share in cash, in a transaction that values the medical device manufacturer at about $5.7bn including debt.
Why KKR is buying Integer Holdings Corporation
Integer's board said the sale followed a full strategic review and gives shareholders immediate, certain value. KKR intends to invest in Integer's manufacturing capacity, technology and workforce, and to set up a broad-based employee ownership programme after closing.
Deal terms and financing
The price is a 51.8% premium to Integer's close on 29 April 2026 and 28.8% above the 30-day volume-weighted average as of 31 July. KKR is funding the deal with equity from its funds and committed debt arranged by Citi, KKR Capital Markets, Barclays, UBS and Jefferies, and there is no financing condition.
Regulatory approvals and timing
Closing is expected by the end of 2026, subject to approval by Integer stockholders and required regulatory clearances. Integer will then delist from the New York Stock Exchange.
Market context
Integer, whose brands include Greatbatch Medical and Lake Region Medical, makes devices for cardio and vascular, neuromodulation and cardiac rhythm management markets and employs about 11,000 people.
