Jazz Pharmaceuticals agreed on 10 August to acquire privately held Actio Biosciences for $820m upfront plus up to $500m in contingent payments.
Why Jazz Pharmaceuticals plc is buying Actio Biosciences
Jazz said ABS-1230 expands its rare epilepsy portfolio built on Epidiolex. The drug showed meaningful seizure reductions in an early proof-of-concept trial in children and has Fast Track, Rare Pediatric Disease and Orphan Drug designations.
“The acquisition of ABS-1230 represents a highly strategic expansion of our rare epilepsy portfolio”
Deal terms and financing
Actio holders receive $820m at closing and up to $500m tied to approval and sales milestones. Concurrently with closing, Actio will spin out a new private company holding other programmes, including the TRPV4 inhibitor ABS-0871, in which Jazz will take a minority stake.
Regulatory approvals and timing
Closing is expected by the fourth quarter of 2026, subject to customary conditions; Jazz will fund the deal from cash on hand and existing financing facilities.
