Inspira Global agreed on 20 January to acquire a controlling interest in Restaurant Brands Asia, the master franchisee of Burger King in India and of Burger King and Popeyes in Indonesia, at ₹70 a share.
Why Inspira Global is buying Restaurant Brands Asia Ltd
Inspira said the investment strengthens its focus on consumer businesses and deepens its presence in quick-service restaurants. The deal is executed through Lenexis Foodworks, its food arm, which runs more than 250 Chinese Wok restaurants in over 45 Indian cities.
“We see this acquisition as a long-term value creation initiative through focused sustainable growth and realizing the true potential offered by the market.”
Deal terms and financing
Inspira is buying QSR Asia's entire 11.26% stake for about ₹460 crore and subscribing for about ₹900 crore of new shares and about ₹600 crore of warrants. QSR Asia, majority owned by Everstone Capital, exits completely. RBA's existing management team stays in place.
Regulatory approvals and timing
The deal required shareholder approval and clearance from the Competition Commission of India and triggered a mandatory open offer under SEBI takeover rules. Inspira completed the acquisition in July 2026 after the open offer, with an outlay of about ₹2,235 crore and a 41.78% stake; Madhusudan Agrawal became chairman (Restaurant India).
Market context
Everstone opened India's first Burger King 12 years before the sale; the chain now has more than 575 outlets. Inspira, promoted by Aayush and Madhusudan Agrawal, also has interests in real estate, pharmaceuticals, luxury home products and clean energy.
