Infineon Technologies agreed on 3 February to buy ams OSRAM's non-optical analog/mixed-signal sensor business for €570m on a cash-free, debt-free basis.
Why Infineon Technologies AG is buying ams OSRAM non-optical analog/mixed-signal sensor business
Infineon said the portfolio strengthens its sensor position in automotive and industrial markets and broadens its medical offering. The mixed-signal products include medical imaging chips such as computed tomography detectors and sensor interfaces for industrial encoders. The positioning and temperature range covers uses including chassis sensing, steering-wheel hand detection, robotics and continuous glucose monitoring.
“The acquired business is a perfect strategic fit for Infineon and complements our strong analog and sensor offering.”
Deal terms and financing
The transaction is an asset deal covering products, R&D capabilities, intellectual property and test and laboratory equipment, but no production facilities, and includes a multi-year supply agreement with ams OSRAM. Infineon said it would fund the purchase with additional debt and expected the deal to add to earnings per share immediately on closing. ams OSRAM said assets of about €130m securing its convertible bonds and senior notes were part of the sale, with proceeds to go to a pro-rata buyback or redemption.
Regulatory approvals and timing
Closing was expected in the second quarter of 2026, subject to regulatory approvals. ams OSRAM announced on 1 July 2026 that the sale had closed and that it had received the €570m in cash.
Market context
ams OSRAM, based in Premstätten, Austria, said its divestment programme would raise about €670m in total and cut its pro-forma leverage ratio from 3.3 to 2.5. Infineon set up a Sensor Units & Radio Frequency business unit in January 2025.
