Why The Indian Hotels Company Ltd (IHCL) is buying Brij Hospitality Pvt Ltd

IHCL said the deal aims to develop the boutique leisure segment across India while continuing its capital-light growth strategy, adding 22 hotels to its portfolio.

Deal terms and financing

IHCL, directly and through its step-down subsidiaries ANK Hotels and Pride Hospitality, signed a share subscription and purchase agreement, share purchase agreements and a shareholders' agreement. Consideration is in cash. IHCL disclosed that one selling shareholder is related to a director of Pride and said the deal was at arm's length.

Regulatory approvals and timing

No government approvals were required. IHCL told the exchanges on 21 April 2026 that it had completed the acquisition of 51% for a total investment of up to ₹222 crore, making Brij a subsidiary (NSE filing).

Market context

Brij was founded by Udit Kumar and Anant Kumar, and its first hotel, BrijRama Palace, is in Varanasi; its properties include locations in Jawai, Dalhousie and Jaipur. Asian Hospitality reported that the deal took IHCL to 610 hotels, with 253 in the pipeline, against a target of 700 under its Accelerate 2030 plan.
