Home Credit India Finance, a subsidiary of TVS Holdings, signed an agreement on 15 July to buy Bengaluru-based Varthana Finance, which lends to schools and other education providers, for ₹967 crore in cash.
Why Home Credit India Finance (TVS Holdings) is buying Varthana Finance Private Limited
TVS Holdings said Varthana's specialised education-finance franchise extends the group into a complementary secured and longer-tenure lending segment, as part of its long-term approach to building financial services businesses across customer segments.
Deal terms and financing
Home Credit India will acquire all of Varthana's share capital for ₹967 crore in cash, subject to adjustments in the share purchase agreement. Varthana will become a wholly owned subsidiary of Home Credit India and a step-down subsidiary of TVS Holdings.
Regulatory approvals and timing
The acquisition requires Reserve Bank of India approval for the change in control of an NBFC and is expected to complete within nine months of the 15 July signing.
Market context
Varthana Finance, formerly Thirumeni Finance, was incorporated in 1984; its turnover rose from ₹284.27 crore in FY24 to ₹398.31 crore in FY26.
