Why Hindustan Unilever Ltd is buying Zywie Ventures (OZiva)

HUL entered health and wellbeing in 2023 and describes it as a fast-growing but still nascent consumer category. The company said full ownership of OZiva fits its strategy of making fewer, bigger bets and would let it apply its science, distribution and market-development capabilities to the brand.

Deal terms and financing

The price was set under a valuation framework agreed when HUL bought 51% of the company in December 2022 for ₹264.28 crore. The second tranche values OZiva at about ₹1,682 crore. Sellers included founders Aarti Gill and Mihir Gadani and investors Eight Roads Ventures India, F-Prime Capital Partners and Life Sciences Fund VI. In the same announcement HUL agreed to sell its 19.8% minority stake in Nutritionalab to USV for ₹307 crore.

Regulatory approvals and timing

HUL initially said the deals would close by March 2026, subject to customary conditions; Inc42 reported on 13 February that the company had informed the exchanges the OZiva purchase was complete.

Market context

OZiva's revenue grew at about 130% a year over the past two years to roughly ₹480 crore in 2025. HUL first entered the category with the 51% OZiva purchase announced in December 2022.
