Henkel agreed on 26 March to acquire Olaplex, the New York-based prestige hair-care brand, for $2.06 per share in cash, valuing its equity at about $1.4bn.
Why Henkel AG & Co. KGaA is buying Olaplex Holdings, Inc.
Olaplex said the combination pairs its strength with professional stylists and its North American direct-to-consumer and specialty retail presence with Henkel's international reach, and should speed up product development. Henkel later said the deal makes it the global number two in professional hair care.
Deal terms and financing
The offer represented a premium of about 55% to Olaplex's closing price on 25 March and about 45% to its 30-day volume-weighted average price. Advent, which held more than a majority of the voting power, approved the transaction by written consent, so no further shareholder vote was needed. The price compares with Olaplex's 2021 IPO price of $21 a share.
Regulatory approvals and timing
The deal required regulatory approvals and was expected to close as soon as the second half of 2026. Henkel announced on 7 July 2026 that all closing conditions had been met and that Olaplex was fully part of the group; its shares ceased trading on Nasdaq.
Market context
Olaplex, founded in 2014 and known for its bond-building technology, generated around EUR370m of sales in 2025 according to Henkel, after a multi-year turnaround following a sharp post-IPO decline. Henkel has been streamlining its consumer portfolio and is now adding scale in premium hair care.
