Why GSK plc is buying Nuvalent, Inc.

GSK said the deal accelerates its entry into lung cancer with zidesamtinib and neladalkib, next-generation ROS1 and ALK inhibitors that hold FDA Breakthrough Therapy and Orphan Drug designations. It also gives a platform for GSK's B7-H3 antibody-drug conjugate Ris-Rez, already in phase III.

“Today's acquisition is a multi-product deal, consistent with our approach to acquire assets that have clinically proven targets and meaningfully address an efficacy and/or tolerability gap.”Luke Miels, Chief Executive Officer, GSK

Deal terms and financing

GSK agreed to launch a tender offer within ten business days. The $124 price was a 40% premium to the last close and 26% to the 30-day VWAP. GSK expected the deal to be accretive to sales and core operating profit in 2027 and to core EPS in 2029, and left its 2026 guidance unchanged.

Regulatory approvals and timing

GSK announced on 15 July 2026 that it had completed the tender offer and acquisition. FDA target dates were 18 September 2026 for zidesamtinib and 27 November 2026 for neladalkib.

Market context

ROS1- and ALK-altered lung cancers mainly affect non-smoking adults aged 40 to 50. GSK said the deal should strengthen core operating profit through the dolutegravir loss-of-exclusivity period of 2028 to 2030.
