Why Curium is buying Lantheus Holdings

The companies said the combination would join Curium's theranostics portfolio and global manufacturing with Lantheus's US radiodiagnostics franchise, creating a group serving oncology, neurology and cardiology patients in more than 70 countries.

Deal terms and financing

The total consideration of up to $114.50 per share represents a 38% premium to Lantheus's unaffected 60-day volume-weighted average price as of 21 May 2026. Lantheus's definitive proxy says total funds needed at closing are about $7.45bn, to be met with equity from CapVest-advised funds and committed debt; the deal has no financing condition.

Regulatory approvals and timing

Lantheus shareholders approved the merger at a special meeting in October 2026. Closing is expected in the first half of 2027, subject to regulatory approvals.

Market context

Lantheus's business is built around its F18 prostate cancer imaging franchise and neurology and cardiac imaging agents. Curium is controlled by private equity firm CapVest.
