CRH agreed on 22 June to acquire Arcosa, a Dallas-based supplier of aggregates and infrastructure products, for $150 a share in cash, valuing it at about $8.5bn including debt.
Why CRH plc is buying Arcosa, Inc.
CRH said the deal reinforces its position as North America's largest infrastructure materials company and its lead in US aggregates, with over 265m tonnes of combined annual production. Arcosa serves 13 of the 50 largest US metropolitan areas and its Engineered Structures arm benefits from grid modernisation, electrification and data centre construction.
Deal terms and financing
The all-cash offer will be funded with available cash and committed debt, with J.P. Morgan and Morgan Stanley providing a bridge. CRH expects the deal to add to earnings, margin and cash flow in the first 12 months after completion.
Regulatory approvals and timing
Arcosa stockholders approved the merger at a special meeting on 4 September 2026. Closing is expected in the first quarter of 2027, subject to regulatory approvals.
Market context
Arcosa bought Stavola's construction materials business for $1.2bn in 2024 and sold its marine products division earlier in 2026, according to Dallas Innovates. A week after the CRH deal, Martin Marietta agreed to buy Lhoist North America.
