ReNew Energy Global agreed on 11 August to be taken private by a consortium of CPP Investments and founder Sumant Sinha at $7.02 a share in cash, valuing its equity at about $2.8bn and implying an enterprise value of about $10.2bn.
Why CPP Investments and Sumant Sinha (consortium) is buying ReNew Energy Global plc
The consortium is buying the shares that it and its affiliates do not already own. Once the scheme takes effect ReNew will be delisted from Nasdaq and deregistered in the United States, and remaining shareholders will become direct holders of its Indian subsidiary, ReNew Private Limited.
Deal terms and financing
The price is a 12.5% premium to the $6.24 close on 28 May 2026, before the consortium's first offer of $6.75, and 32.5% above the three-month volume-weighted average to that date. The consortium raised its offer to a best and final $7.02 on 27 July. Eligible holders can keep their entire stake instead of taking cash. A special committee advised by Rothschild & Co and Linklaters recommends the deal.
Regulatory approvals and timing
The scheme needs court sanction and shareholder approval, and is expected to become effective in the first quarter of 2027. ReNew filed a Schedule 13E-3 with the SEC in September.
Market context
ReNew has about 20.2GW of clean energy capacity on a gross basis plus solar module and cell factories. An earlier consortium including Abu Dhabi's Masdar abandoned its bid in December 2025.
