Spanish private-label food maker Cerealto said on 13 February 2026 that it had agreed to sell its pasta business, including its factory in Venta de Baños, Palencia, to Portuguese agri-food group Cerealis.
Why Cerealis is buying Cerealto pasta business (Venta de Baños plant)
Cerealto said the sale lets it concentrate on its core snacking and breakfast categories. Cerealis said the deal would bring synergies and improve its scale and international competitiveness; it puts the plant's annual capacity at about 90,000 tonnes.
“Our pasta business has been high-performing and value accretive”
Deal terms and financing
Financial terms are confidential. About 125 employees at the site transfer to Cerealis, and Cerealto said no changes were envisaged to the workforce or operations. Pasta accounted for 19.1% of Cerealto's sales in 2024, around €100m, Alimarket reported.
Regulatory approvals and timing
The deal required approval from Spain's CNMC and Portugal's competition authority. The CNMC listed Cerealis/Cerealto Pasta (C/1662/26) among the concentrations it cleared in March 2026.
Market context
Cerealto, backed by Davidson Kempner and Afendis Capital, sold its Italian pasta maker Pastificio Mediterranea to Ulusoy in 2024 and bought a majority of US-based Fresca Foods in late 2025.
