Why Cenovus Energy is buying Athabasca Oil

Athabasca's board and a special committee backed the offer, which the company says represents a 25% premium to its after-tax proved-plus-probable net asset value as well as a 14% premium to the recent trading average. For Cenovus, the target adds oil-sands production and reserves that sit alongside its existing Alberta operations.

Deal terms and financing

Athabasca holders receive C$12.00 per share, with aggregate consideration of about 65% cash and 35% Cenovus stock at 0.264 Cenovus shares per Athabasca share. Holders can elect their mix within limits and receive all cash if they make no election.

Regulatory approvals and timing

A management information circular is due in early November, the shareholder meeting is expected in late November, and closing is targeted for December 2026, subject to customary approvals.

Market context

The deal lands in a busy autumn for Canadian energy M&A, coming the same week as Suncor's sale of offshore stakes to Ithaca and Emera's all-stock move for Canadian Utilities.
