Why Carlyle (Global Credit) and Diversified Energy is buying Camino Natural Resources' Anadarko Basin assets

Diversified said the assets sit next to its existing Oklahoma operations and offer meaningful synergies, while the structure lets it grow without issuing equity. The deal extends a partnership launched in 2025 that pairs Carlyle's asset-backed finance capabilities with Diversified's operating expertise in producing wells.

Deal terms and financing

The purchase is funded through an asset-backed securitisation structured and arranged by Carlyle, cash from Carlyle for its share of the vehicle and Diversified's credit facility. The producing assets are held in a special purpose vehicle owned about 60% by Carlyle and 40% by Diversified, which operates them and keeps the undeveloped acreage outside the vehicle.

Regulatory approvals and timing

Diversified said in its second-quarter filing that it completed the acquisition on 2 July 2026.

Market context

The assets include about 101,000 acres in the SCOOP, STACK and MERGE plays and produce roughly 300 MMcfe a day.
