Belden agreed on 30 April to acquire RUCKUS Networks, a provider of Wi-Fi, enterprise switching and AI-driven cloud network management, from Vistance Networks for about $1.85bn.
Why Belden Inc. is buying RUCKUS Networks
Belden said RUCKUS, which serves more than 48,000 customers, brings Wi-Fi and enterprise switching it did not previously offer, for hospitality, education and healthcare customers, and an opportunity to sell wireless and switching into its industrial base as customers converge IT and OT networks. RUCKUS has high-single-digit revenue growth, gross margins above 60% and adjusted EBITDA margins above 20%.
“The addition of RUCKUS brings a leading provider of purpose-driven enterprise networks to Belden and accelerates our transformation into a full-stack networking solutions provider.”
Deal terms and financing
The price represents about 13 times projected 2026 adjusted EBITDA and was expected to be immediately accretive to adjusted EPS. Belden secured fully committed debt financing from J.P. Morgan, paused share buybacks and targets net leverage below 3.0 times within a year of closing and about 1.5 times by 2029. Vistance expected net proceeds of about $1.7bn and planned a special distribution to shareholders.
Regulatory approvals and timing
Belden announced on 1 July 2026 that it had completed the acquisition.
Market context
Vistance Networks is the former CommScope, which sold its connectivity and cable business to Amphenol. After the RUCKUS sale it retains the Aurora Networks broadband access business.
