Why Aura Consolidated Group is buying Qoria Limited

The companies said Aura's US direct-to-consumer and employee-benefits business complements Qoria's relationships with schools and its international reach. Together they reported more than US$300m of annual recurring revenue in 2025, access to more than 9m families and over 20% of US schools, and targeted positive cash flow in calendar 2026.

Deal terms and financing

Qoria becomes a wholly owned Aura subsidiary under a merger implementation deed, with its shareholders receiving Aura stock as CHESS Depositary Interests and the enlarged group trading on the ASX as AXQ. Aura's pre-money equity value was put at about US$2.1bn. Existing Aura investors including founder Hari Ravichandran, WndrCo, Accel and General Catalyst committed US$75m to a placement. Reuters reported the A$0.72 implied price was more than double Qoria's previous close, which valued it at A$453.7m.

Regulatory approvals and timing

The scheme needed Qoria shareholder, court, ASIC and ASX approvals and merger clearance. Aura said on 17 July 2026 that all conditions had been met, including approval by Qoria shareholders and the Federal Court of Australia, and that it had completed the acquisition alongside a US$100m placement.

Market context

Qoria had rejected a A$307m takeover offer from K1 Investment Management in 2024, and its shares had fallen more than 40% in early 2026 before the Aura deal, according to Reuters.
